Corporate Law Clerk - In-House Legal Department
Downtown Toronto

Hybrid work arrangement available! 

Our client, a dynamic and global corporation is growing! They are looking to add a Junior Law Clerk to the team in Toronto! In this role the successful candidates will work alongside the lawyers and senior law clerks of the Legal Team.  

 Key responsibilities include:

  • Update and maintain minute books, corporate entity database, organizational charts and entity lists for the corporate group of companies;
  • Prepare annual special resolutions and regulatory filings;
  • Draft documentation for flows of funds and corporate reorganizations, including capital contributions, dividends, returns of capital and distributions, transfers of interests;
  • Assist treasury and capital markets teams with bank account opening and KYC requests and requirements;
  • Assist in preparing meeting materials, including the preparation of notices, agendas and resolutions, distribute meeting materials, prepare minutes, etc.;
  • Assist with corporate disclosure and compliance;
  • Provide support to the Corporate Legal Services team and other legal teams, as required.

      Requirements        

  • Experience with maintaining minute books and corporate records, independently drafting standard resolutions and legal documents for annual matters, director / officer changes, flows of funds and corporate reorganizations;
  • A self-starter and detail-oriented person who enjoys interesting and challenging work;
  • Organized, flexible and capable of working in a dynamic fast-paced environment;
  • Works well in a team but able to work independently to achieve common goals;
  • Ability to manage several priorities and to work under tight deadlines;
  • Advanced knowledge of Microsoft Office Suite (Power Point, Excel, Word, Outlook) and Adobe; experience with MS SharePoint and Blueprint Oneworld is an asset; and
  • Excellent English written and verbal communication.

Qualifications

  • Law Clerk/Paralegal Diploma or equivalent education/work experience; and
  • Minimum of three to five years of experience working as a corporate law clerk in a fast-paced and dynamic law firm or in-house environment.
